Welcome to The National Center for Emotional Wellness, Inc. These Terms of Use ("Agreement") govern your access and use of the website located at “NationalCenterforEmotionalWellness.org” (referred to as “the Site”), provided to you by The National Center for Emotional Wellness, Inc. (“The Center,” “we,” “us,” or “our”). By accessing or using the Site, you affirmatively acknowledge that you have read, understood, and agree to be bound by this Agreement. Your access to and continued use of the Site constitute a legally binding agreement. If you do not agree with any part of this Agreement, please do not access or use the Site.

1. Purpose and Nature of the Site

The Center is an online platform that provides general, educational, and informational content related to emotional wellness. The Site does not provide medical, psychological, psychiatric, legal, or other professional services, nor does it establish a doctor-patient, therapist-client, attorney-client, or fiduciary relationship of any kind.

The resources and information provided on the Site are not intended and shall not be construed as legal, medical, or psychological advice, or as a substitute for professional judgment. You acknowledge that reliance on any information obtained through the Site is solely at your own risk. You are strongly encouraged to consult with qualified professionals regarding your specific circumstances.

a. Age Requirement: You must be at least eighteen (18) years of age to access or use the Site.

Any such references are provided solely for informational or educational purposes and do not constitute an endorsement, guarantee, warranty, or representation by The Center.
You acknowledge and agree that The Center has no control over and assumes no responsibility for the content, functionality, safety, efficacy, legality, or performance of any third-party website, product, or service.

3. Intellectual Property

a. Ownership: All content on the Site, including text, graphics, logos, images, audio, video, software, and design elements, is the exclusive property of The Center or its licensors and is protected by applicable intellectual property laws.
b. Limited License: Subject to your compliance with this Agreement, The Center grants you a revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Site solely for personal, non-commercial purposes.

4. Indemnification

You agree to indemnify, defend, and hold harmless fully The National Center for Emotional Wellness, Inc., together with its officers, directors, employees, agents, contractors, consultants, affiliates, successors, and assigns, from and against any and all claims, demands, actions, causes of action, liabilities, damages, judgments, settlements, losses, penalties, fines, costs, and expenses of every kind, including but not limited to reasonable attorneys’ fees and litigation expenses, arising out of or relating to:

(i) your access to or use of the Site;
(ii) your reliance on any information, content, recommendation, reference, or resource made available through the Site;
(iii) your use of, interaction with, or reliance upon any third-party product, service, platform, or website referenced, linked, reviewed, or discussed on the Site, whether characterized as an endorsement or otherwise;
(iv) your violation of this Agreement or any applicable law or regulation; or
(v) any allegation that your conduct caused harm, injury, or loss to a third party.

This indemnification obligation shall apply regardless of whether the alleged liability arises in contract, tort (including negligence), strict liability, or otherwise, and shall survive termination of this Agreement and your use of the Site.

5. Disclaimer and Limitation of Liability

a. Disclaimer: The Site is provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, The Center expressly disclaims all warranties, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability.
b. Limitation of Liability:
To the maximum extent permitted under applicable law, in no event shall The Center or its officers, directors, employees, agents, or affiliates be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, data, goodwill, or personal injury, arising out of or related to your use of—or inability to use—the Site or any third-party product or service referenced therein, even if The Center has been advised of the possibility of such damages.

6. Termination

The Center reserves the right, in its sole discretion, to suspend or terminate your access to the Site without notice and without liability, for any reason or no reason.

7. Changes to this Agreement
​
The Center may modify this Agreement at any time by posting an updated version on the Site. Your continued use of the Site following such posting constitutes your binding acceptance of the revised terms.

8. Governing Law and Jurisdiction
​
This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict-of-laws principles.
Any action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located within the State of New York, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.

9. Entire Agreement
​
This Agreement constitutes the entire agreement between you and The Center regarding the subject matter hereof and supersedes all prior or contemporaneous agreements, representations, or understandings, whether written or oral.
